Notice of AGM

NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that an in person Annual General Meeting of the Regina Garden Associates covering the period of July 1, 2022, to June 30, 2023, will take place on Thursday, September 28, 2023 at 7:00 PM at the Regina Floral Conservatory, 1450B Fourth Avenue in Regina.

ITEMS OF BUSINESS FOR THE AGM

• Approving minutes from the 2022 Annual General Meeting
• Receiving a report from the Treasurer on the organization’s financial statements and a report from the auditor;
• Appointing auditors for the 2023-24 year;
• Electing a new executive – there are four positions to be filled on the executive of the Board of Directors for the 2023-24 year: President, Vice-President, Treasurer, and Secretary;
• Voting on bylaw changes; and,
• Any other general business.

MEMBERSHIP REQUIRED

According to the RGA bylaws you must be a member of the RGA to attend and be eligible to vote at the AGM.  You can become a member by purchasing or renewing your membership at https://reginafloralconservatory.ca/membership/, sending an e-transfer to members@reginafloralconservatory.ca or dropping into the Regina Floral Conservatory any afternoon from 1:00 to 4:30 PM once we open on September 5, 2023.

QUESTIONS & NOMINATIONS

Should you have any questions you want to raise at the AGM or wish to nominate a member for an executive position, please submit these by Friday, September 22, 2023.  Questions or nominations can be submitted to info@reginafloralconservatory.ca

NOTICE OF BYLAW AMENDMENT

Under the RGA’s Bylaws, the board of directors may make changes to the Bylaws (section 4.3), but the approval of the membership is required at the next AGM.

Notice of membership vote on amendment to bylaws:

Resolution amending section 3.7 (Board of Directors)

Whereas it can be difficult to find volunteers who are willing and able to take on the full responsibility of an executive or director position on the board, the RGA board of directors approved a motion making the following addition to the RGA’s bylaws at its monthly board meeting on January 19, 2023:

3.7.10 In a co-leadership board position where two RGA members share the leadership of an Executive or coordinator position, one of the two members will be appointed to the Board of Directors and will represent the co-leadership position. 

Therefore, be it resolved that the RGA’s membership accept this change to the bylaws.
